REDWOOD REGION ORNITHOLOGICAL SOCIETY (RROS), Inc.
BY-LAWS
ARTICLE I. PURPOSE
The purpose of this non-profit Corporation (Society) shall be to encourage the study and conservation of birds, other wildlife, and their natural habitat.
ARTICLE II. MEMBERSHIP
Any Person interested in the purpose of this Corporation (Society) shall be eligible for membership.
ARTICLE III. DUES
The annual dues shall be set by a vote of the membership at any regular meeting.
ARTICLE IV. BOARD OF DIRECTORS
The Corporation shall have five (5) directors: President, Vice President, Secretary, Treasurer and Past President.
ARTICLE V. OFFICERS
Section 1. The officers of the Corporation shall be a President, a Vice President, a Secretary and a Treasurer.
Section 2. The officers shall be elected at the regular April membership meeting. The President and the Vice President shall each serve one (1) year term and shall be eligible for re-election for a second one-year term. The Secretary and the Treasurer shall each serve one-year terms and shall be eligible for unlimited additional terms as approved by the membership.
ARTICLE VI. DUTIES OF THE OFFICERS
Section 1. President The President shall preside over all meetings at which he/she is present; shall exercise general supervision over the affairs and activities of the Corporation (Society); shall appoint all activity/committee chairs, with the advice and consent of the Board of Directors; shall have the power to establish additional activity chairs/committees, with the advice and consent of the Board of Directors; and he/she shall act as ex-signatory on the Corporation bank account(s) in the absence of the Treasurer.
Section 2. Vice-President The Vice President shall assume the duties of the President during his/her absence and shall act as Program Chair, arranging programs for regular monthly meetings.
Section 3. Secretary. The Secretary shall keep the minutes of the meetings of the Corporation, which shall be an accurate and official record of all business transacted. The Secretary shall also be the custodian of all the records of the Corporation, except those kept by the Treasurer.
Section 4. Treasurer. The Treasurer shall receive all Corporation funds and shall keep them in a repository approved by the Board of Directors. The Treasurer shall submit a written report to the membership of the Corporation’s receipts, expenses, and current cash position semi-annually first on December 31 and secondly at the end of the fiscal year, to be published in the following issues of Kite Tales, and shall submit interim reports for publication in Kite Tales as the Treasurer deems appropriate or if requested by the Board of Directors. Payments of $250 or less may be made by the Treasurer directly from a petty cash fund or by check. All payments in excess of $250 must be approved by the Board of Directors.
ARTICLE VII. QUORUM
Section 1. Those regular members present shall constitute a quorum at any official meeting of the Corporation.
Section 2. Three-fifths (3/5) of the members of the Board of Directors shall constitute a quorum of that Board of Directors.
ARTICLES VIII. MEETINGS
The membership shall meet monthly, September through May, on the second Wednesday of the month. Special meetings may be called by the Directors.
ARTICLE IX. ACTIVITY/COMMITTEE CHAIRS
Section 1. Field Trips. The Field Trip Chair shall plan trips and appoint leaders for these trips.
Section 2. Youth Program (YAMS). The Youth Program Chair shall organize activities related to the Society’s purpose in order to engage young people.
Section 3. Pelagic Trips. The Pelagic Trips coordinator shall schedule local pelagic trips and collect the payments from participants for transfer to the boat captain. RROS pelagic trips shall be made available to the general public on receipt of payment.
Section 4. Kite Tales. The Kite Tales editor shall edit the Society newsletter, which shall be published monthly September through May.
Section 5. Society Website. The Website Manager shall maintain the website calendar and post relevant materials, including Kite Tales, in a timely manner.
Section 6. Observations. The Observations Chair shall list bird observations for each issue of the Society’s newsletter, “Kite Tales”.
Section 7. Christmas Bird Count (CBC). The Christmas Bird Count Compiler shall assign teams of counters for all segments of the Santa Rosa CBC Circle and shall tabulate results for submission to the National Audubon Society CBC website.

RROS membership meetings are held the second Wednesday of each month September through May. The September and May meetings are typically outdoor potlucks, while the regular meetings (October through April) are held at 7:00 pm on the second Wednesday of each month. KITE TALES ARCHIVES
The KITE TALES newsletter debuted in November 1967.
In March 2021, incoming President Gene Hunn spearheaded a herculean effort to make the entire Kite Tales archival collection available online. Gene Hunn, Anne O’Donnell, and Jeff Valfer tirelessly scanned old issues in until the massive undertaking was completed in the summer of 2021.
